Awards of nil-cost options over 5 pence Ordinary Shares in the Company (“Shares”),
that were made on 22 March 2022 under the Hammerson plc Deferred Bonus Share
Scheme, vested on 22 March 2024 and were subsequently exercised by Himanshu
Raja, Chief Financial Officer and PDMR, on 9 August 2024. A portion of these Shares
was then sold to cover their tax and national insurance liability in respect of the share
awards with the remaining 245,178 Shares retained by the PDMR.

The Company was also notified that Himanshu Raja acquired 161,641 Shares at a price
of £0.269592 per Share and 61,595 Shares at a price of £0.26926 on 8 August 2024.

This announcement is made in accordance with the requirements of the UK Market
