Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 6, 2022, J. Patrick Nelli and Health Catalyst, Inc. (the “Company”) mutually agreed that, effective September 30, 2022, Mr. Nelli will transition from his position as President of the Company to Senior Advisor, in order to enable a smooth transition of his prior responsibilities as President. In connection with the foregoing, the Company and Mr. Nelli anticipate entering into a separation and release agreement when Mr. Nelli ceases to be employed by the Company. Mr. Nelli’s transition is not the result of any disagreement or conflict with the Company.
A copy of the press release issued by the Company on September 7, 2022 regarding the transition of Mr. Nelli is attached hereto as Exhibit 99.1.
