Item 5.02, Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On August 2, 2021, the Compensation Committee (the “Committee”) of the Board of Directors of the Company approved the grant a special monetary award of $193,299 to the Executive Chairman and Chief Executive Officer of the Company, in consideration of superlative efforts. The amount of the monetary award is equal to the difference between the designated base salary amount in the employment agreement of the Executive Chairman and Chief Executive Officer and actual cash payments by the Company to the Executive Chairman and Chief Executive Officer from January 1, 2016 to June 30, 2021. Mr. De Gasperis’ salary was voluntarily reduced from $360,000 to $288,000 in 2016 in conjunction with the Company's efforts to reduce administrative expenses. On August 2, 2021, the Committee also approved the reinstatement of Mr. DeGasperis’ base salary to $360,000 per his employment agreement, effective retroactively from July 1, 2021.
