Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 15, 2022, the Compensation Committee of the Board of Directors of Laureate Education, Inc. (the “Company”) awarded Timothy Grace, the Company’s Chief Human Resources Officer and a named executive officer, a discretionary cash bonus of $400,000 in recognition of his significant contribution to the Company’s organization transformation efforts during calendar year 2021.
