Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 28, 2021, Jefferies Financial Group Inc. (the “Company”) filed a Current Report on Form 8-K (the “Initial 8-K”) disclosing that the Board of Directors (the “Board”) of the Company had elected Melissa V. Weiler and Matrice Ellis Kirk to the Board. Committee assignments for Mses. Weiler and Ellis Kirk had not been determined as of the filing of the Initial 8-K.

The Company is filing this Amendment No. 1 to the Initial 8-K to report that on July 2, 2021, effective as of the same date, the Board appointed Ms. Weiler to serve as a member of its Audit Committee and its Compensation Committee, and Ms. Ellis Kirk to serve as a member of its ESG, Diversity, Equity and Inclusion Committee and its Risk and Liquidity Oversight Committee, having previously determined that each of them is an independent director under applicable Securities and Exchange Commission and New York Stock Exchange rules.

All other information in the Initial 8-K remains unchanged.
