Item 1.02

Termination of a Material Definitive Agreement

On September 30, 2021, International Flavors & Fragrances Inc. (the “Company”) prepaid in full and terminated the Term Loan Credit Agreement, dated as of June 6, 2018, as amended, among the Company, as borrower, the lenders party thereto and Morgan Stanley Senior Funding, Inc., as administrative agent, subject to survival of any provisions which by their terms survive termination. The Term Loan Credit Agreement was scheduled to mature on October 1, 2021 and was terminated in connection with the refinancing thereof in the commercial paper market.
