Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 11, 2022, Robert J. Hombach, a member of the board of directors (the “Board”) of CarMax, Inc. (the “Company”), informed the Company that he would not stand for re-election as member of the Board at the Company’s 2022 annual meeting of shareholders. Mr. Hombach’s decision not to stand for re-election to the Company’s Board was not a result of any disagreement with the Company.
