NARRATIVE
State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
HF Foods Group Inc. (the “Company”) is unable to file its Quarterly Report on Form 10-Q for the quarter ended March 31, 2022 (its “Q1 2022 10-Q”) within the prescribed time period without unreasonable effort and expense as explained below. While there can be no assurances, the Company currently expects to file its Q1 2022 10-Q as soon as practicable upon resolution of accounting treatment relating to the Company's business combination with B&R Global Holding, Inc.
The Company requires additional time to finalize its financial statements and related disclosures due primarily to its ongoing review of the accounting treatment relating to the Company’s business combination with B&R Global Holdings, Inc. on November 4, 2019 in response to a Securities and Exchange Commission (“SEC”) comment letter. The Company, together with its consultants, under the oversight of the Audit Committee of the Company’s Board of Directors, is in the process of conducting a review of the accounting treatment of the business combination with B&R Global Holdings, Inc. and certain other items in the SEC comment letter. The Company and its consultants are in the process of assessing the potential issues and their related impact on the Company’s financial statements. However, based on the current status of this review, the Company anticipates that it is possible that the Company will need to restate its financial statements for prior reporting periods.
As a result of the ongoing review, the Company will require additional time to complete its analysis and to determine whether a restatement is needed. The Company has not yet determined that a restatement is required, and cannot currently quantify the potential impact of any restatement.

Schedule A
Anticipated significant changes in the results of operations of HF Foods Group Inc. based on its preliminary, unaudited results of operations include the following:

Net revenue for the three months ended March 31, 2022 increased to $278.2 million from $159.4 million, or by $118.8 million or 74.6% compared to the same period in 2021. The increase was primarily due to the easing of COVID-19-related restrictions in 2022 that resulted in more dine-in business for our customers and an increase in overall foot traffic to restaurants as well as additional revenue generated as a result of the Great Wall Acquisition.

Gross profit for the three months ended March 31, 2022 increased to $51.3 million from $29.4 million, or by $21.9 million or 74.3%, compared to the same period in 2021 mainly due to strong revenue growth and the Great Wall Acquisition. Overall gross margin remained consistent from 18.5% in the three months ended March 31, 2021 to 18.4% in the three months ended March 31, 2022.

Consistent with previously reported results, results of operations for the three months ended March 31, 2021 were adversely affected by the COVID-19 pandemic and the attendant business closures of and subsequent capacity restrictions on restaurant operations. It is anticipated that the Company’s financial statements for the three months ended March 31, 2022 will generally reflect a gradual return to pre-pandemic consumer habits.
