State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Hamilton Beach Brands Holding Company (the “Company”) is filing an extension on Form 12b-25 with the U.S. Securities and Exchange Commission to allow for additional time to finalize its annual report on Form 10-K for the year ended December 31, 2020 (the “Form 10-K”). The Company’s Form 10-K could not be filed by March 16, 2021 without unreasonable effort and expense because the Company requires additional time to prepare and finalize the Form 10-K for the year ended December 31, 2020. The Company expects to file its Form 10-K within the extension period prescribed by Rule 12b-25.
