12 Transaction Overview Tenants McLaren Services Limited (2) McLaren Automotive (1) Property Type Industrial Location Woking , United Kingdom Purchase Price (1) $236.3 Square Feet 841,000 Lease Term (years) 20 Years Weighted Average Annual Rent Escalator 1.25% to 4.00% x McLaren Group is a leading luxury automotive, motorsport, and technology company with over 57 - years of cultivating and leading racing ingenuity. x The campus totals 841k square feet and features three, mission - critical, state - of - the - art buildings that are well geographically located. x At closing, the campus was acquired at a Going - in Cap Rate of 9.5% (2) and an average Cap Rate of 10.8%. ▪ The transaction was structured to feature a one - time contingent rent adjustment, which will occur if two conditions are met: ‒ The first condition is that, McLaren Holdings Limited receives a corporate credit rating enhancement to B - (or equivalent) from one of S&P, Moody’s or Fitch by May 2023. ‒ The second condition is for GNL to refinance the property level debt (3) after such credit rating enhancement. GNL has through October 2024 to meet this condition. ‒ In Q2’21, GNL received a $5.2 million financing cost reimbursement from McLaren as required by the terms of the acquisition. x Over the past year, McLaren has greatly fortified their balance sheet by issuing equity, selling assets and raising and refinancing debt, strengthening their credit profile. ▪ Since closing the sale leaseback transaction, McLaren priced a $620 million bond issuance and McLaren Holdings Limited is expected to receive a B - corporate credit rating from Fitch, effective upon closing of the bond sale. ▪ Management believes that the sale leaseback transaction was the catalyst for McLaren to reconstitute their balance sheet and issue senior secured notes.
