On June 17, 2021, Global Net Lease, Inc. (the “Company”) filed with the Securities and Exchange Commission a prospectus supplement dated June 17, 2021, to its prospectus dated November 12, 2019, included in its automatic shelf registration statement on Form S-3 (File No. 333-234631), relating to the possible resale from time to time by the selling stockholders named therein of an aggregate of 2,135,496 shares of the Company’s common stock, par value $0.01 per share.
An opinion of the Company’s counsel, Venable LLP, regarding the legality of the shares of common stock covered by the prospectus supplement described above is filed as Exhibit 5.1 hereto and is incorporated herein by reference.
