Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 8, 2021, Global Industrial Company (the “Company”) announced that Adina Storch will join the Company as Senior Vice President, General Counsel and Secretary, effective October 25, 2021. Ms. Storch will report directly to CEO, Barry Litwin.

On October 6, 2021, the Company notified Eric Lerner, Senior Vice President, General Counsel, of its intention to exercise its rights under Section 3(e) under his Employment Agreement with the Company, which is filed as an exhibit to the Company’s quarterly report on Form 10-Q for the quarterly period ended March 31, 2012, is hereby incorporated by reference herein. Mr Lerner's departure will be effective October 22, 2021.
