Item 5.07 Submission of Matters to a Vote of Security Holders.
 
On April 6, 2023, H.B. Fuller Company (the “Company”) held its 2023 Annual Meeting of Shareholders (the “Annual Meeting”) for the purposes of the election of three directors, the ratification of the appointment of Ernst & Young LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 2, 2023, a non-binding advisory vote to approve the compensation of our named executive officers as disclosed in the proxy statement, a non-binding advisory vote on the frequency of an advisory vote on executive compensation, and the approval of the second amendment and restatement of the H.B. Fuller Company 2020 Master Incentive Plan to increase shares and adopt certain other amendments. As of the record date, there was a total of 53,799,906 common shares outstanding and entitled to vote at the Annual Meeting. At the Annual Meeting, 50,855,661 common shares were represented in person or by proxy, therefore a quorum was present.

In light of the voting results with respect to the non-binding vote on frequency of an advisory vote on executive compensation, the Company will hold future say on pay votes on an annual basis until the next advisory vote on the frequency of say on pay votes occurs. The next advisory vote regarding the frequency of say on pay votes is required to occur no later than the Company’s 2029 Annual Meeting of Shareholders.
