Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On February 16, 2022, Sharon L. Allen notified First Solar, Inc. (the “Company”) that she will not stand for re-election as a member of the Company’s Board of Directors (the “Board”) at the Company’s 2022 Annual Meeting of Stockholders (the “2022 Annual Meeting”). Ms. Allen serves as the chair of the Board’s Audit Committee and as a member of its Technology Committee. Ms. Allen intends to continue to serve as a member of the Board and each of the Audit Committee and Technology Committee until the date of the 2022 Annual Meeting. Ms. Allen’s decision to not stand for re-election was not the result of any disagreement with the Company or its management. The Board and management are grateful for Ms. Allen’s service to the Company since 2013 and wish her well.
