Item 8.01          Other Matters.
 
On May 26, 2022, the United States District Court for the Eastern District of Pennsylvania issued two orders (the “Orders”) in connection with a Complaint and related Motion for an Emergency Temporary Restraining Order and Preliminary Injunction filed on May 17, 2022 in the matter of Vernon W. Hill, II, et al. v. Andrew B Cohen, et al. and Republic First Bancorp, Inc. (the “Company”), as nominal defendant, Civ. No. 22-1924. The Orders appoint Alfred W. Putnam of Faegre Drinker Biddle & Reath LLP as Custodian of and for the Company pursuant to the provisions of Section 1767(a)(3) of the Pennsylvania Business Corporation Law of 1988, as amended, and the Court’s inherent equitable powers, and set forth the duties and responsibilities of the Custodian. Defendants, other than the Company as nominal defendant, have filed a notice of appeal in the matter.
