Item 8.01          Other Events.
 
On April 28, 2022, George E. Norcross, III, Gregory B. Braca, Philip A. Norcross, Avery Conner Capital Trust and its trustees delivered to the board of directors (the “Board”) of Republic First Bancorp, Inc. (the “Company”) a written request for a special meeting of the Company’s shareholders (the “Notice”). Consistent with its fiduciary duties, the Board, together with its advisors, is reviewing the Notice. The Board will communicate with all shareholders with respect to the subject matter of the Notice, including any applicable recommendations from the Board, if and when appropriate, after the review of the Notice is complete.
 
Shareholders are not being asked to take any action at this time.
