Issuance of Press Release
On November 23, 2021, the Company issued a press release announcing the closing of its public offering (the “Offering”) of 11,500,000 units (the
“Units”), with each Unit consisting of one common share, no par value, of the Company and one-half warrant (the “Unit Warrants”), each whole Unit Warrant entitling the holder thereof to purchase one common share. The Units sold includes an
additional 1,500,000 Units sold pursuant to the exercise in full of the overallotment option granted to the underwriters. The Units were sold at a public offering price of $3.00 per Unit. The Unit Warrants have an exercise price of $3.75 per share,
are immediately exercisable and expire five years from the date of issuance.
The press release furnished in this report as Exhibit 99.1 shall not be deemed to be “filed” for the purposes of Section 18 of the Securities Exchange
Act of 1934 or otherwise subject to the liabilities of that section.
