Item 8.01. Other Events.

The press release dated December 31, 2020 concerning the termination of joint venture discussions with Mahindra & Mahindra Limited is filed as Exhibit 99 to this Report and incorporated by reference herein. Certain net assets in our India Automotive operations would have been included in a sale to the unconsolidated joint venture in India with Mahindra & Mahindra Limited. The assets and liabilities were previously accounted for as held-for-sale and will now be classified as held-and-used as of December 31, 2020.
