Item 8.01 Other Events

On February 1, 2021, Eaton Corporation plc (the “Company”) issued a press release announcing that the Company had entered into a purchase agreement to acquire Cobham Mission Systems (“CMS”), a leading manufacturer of air-to-air refueling systems, environmental systems, and actuation primarily for defense markets. Under the terms of the agreement, Eaton will pay $2.83 billion for CMS, inclusive of $130 million in tax benefits. A copy of the press release is attached hereto as Exhibit 99.1.
