Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing
 
On January 3, 2023, Enservco Corporation (the “Company”) received an official notice of noncompliance from the NYSE Regulation (“NYSE”) stating that the Company is noncompliant with Section 704 of the NYSE American Company Guide (the “Company Guide”) for failure to hold an annual meeting for the fiscal year ended December 31, 2021 by December 31, 2022 (“2021 Annual Meeting”). Section 704 of the Company Guide requires an issuer to hold an annual meeting during each fiscal year. The Company expects to hold its Annual Meeting in 2023, at which time the Company will regain compliance with NYSE American LLC’s (“NYSE American’s”) continued listing standards.
