Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 26, 2021, Sabrina Simmons notified e.l.f. Beauty, Inc. (the “Company”) of her decision to resign from the Company’s Board of Directors (the “Board”) and all committees thereof, effective May 31, 2021. Ms. Simmons’ prospective resignation date will help ensure an orderly transition as she will fulfill her services as a director of the Company and as the chair of the Audit Committee of the Board through the expected filing of the Company’s Annual Report on Form 10-K for the fiscal year ending March 31, 2021.
Ms. Simmons has been a director of the Company since 2016 and her decision to resign comes after five years of service on the Board, having joined prior to the Company’s initial public offering. Her decision to resign is not due to any disagreement with the Company on any matter relating to its operations, policies, practices or otherwise.
