Item 5.02.     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On June 28, 2022, Gregory Hyttenrauch was terminated from his position as Executive Vice President and President, Americas of Cognizant Technology Solutions Corporation (the “Company”), effective immediately due to behavior inconsistent with Company policy.

Surya Gummadi has been appointed to serve as interim leader of Cognizant Americas. Mr. Gummadi has been with the Company since 2000 and most recently served as Senior Vice President and Head of the Company’s Healthcare and Life Sciences business.
