Item 8.01     Other Events.

At the 2022 annual meeting of shareholders of CTS Corporation (the “Company”), the Company intends to submit to its shareholders a binding proposal to amend the Company’s Amended and Restated Articles of Incorporation (the “Articles”) to provide for a majority voting standard for directors in uncontested elections.  If the proposed amendment to the Articles is approved by shareholders at the 2022 annual meeting, the Board of Directors of the Company would approve an amendment to the Company’s Amended Bylaws to similarly provide for a majority voting standard for directors in uncontested elections.
