Item 2.04 - Triggering Events That Accelerate or Increase a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement

On February 2, 2022, Campbell Soup Company issued a notice of redemption to holders of its 2.500% Senior Notes due 2022 (the "Notes") for the redemption of all $450 million outstanding aggregate principal amount of the Notes. The redemption date for the Notes will be March 4, 2022 (the "Redemption Date"). The redemption price for the Notes will be calculated in accordance with the indenture governing the Notes and will be equal to the greater of: (i) 100% of the principal amount of the Notes; or (ii) the sum of the present values of the remaining scheduled payments of principal and interest thereon (not including any portion of such payments of interest accrued as of the Redemption Date) discounted to the Redemption Date on a semi-annual basis (assuming a 360-day year consisting of twelve 30-day months) at the Adjusted Treasury Rate (as defined in the indenture governing the Notes), plus 20 basis points; plus, in each case (i) and (ii), accrued interest on the Notes to be redeemed up to, but excluding, the Redemption Date.
