Item 8.01   Other Events.

On February 18, 2021, Centene Corporation (the “Company”) issued a press release announcing the expiration and final tender results of the Company’s tender offer (the “Tender Offer”) to purchase for cash any and all of the $2,200,000,000 aggregate principal amount outstanding of the Company’s 4.75% Senior Notes due 2025.

The Tender Offer expired at 5:00 p.m., New York City time, on February 17, 2021.

A copy of the press release announcing the expiration and final tender results of the Tender Offer is attached hereto as Exhibit 99.1, and is incorporated herein by reference in this Item 8.01.
