Item 7.01 Regulation FD Disclosure.
On May 26, 2021, Citizens Financial Group, Inc. (the “Company”) issued a press release announcing that Citizens Bank, N.A. has entered into an agreement to acquire 80 East Coast branches and the national online deposit business from HSBC Bank U.S.A, N.A.. The Company also posted a presentation providing additional information on the transaction on its website at https://investor.citizensbank.com/about-us/investor-relations/events-and-presentations/2021.aspx.
The press release and presentation are attached as Exhibits 99.1 and 99.2, respectively.
