Explanatory Note

 

On December 22, 2022, The Chemours Company (the “Company”) filed a Current Report on Form 8-K (the “Original Form 8-K”) with the Securities and Exchange Commission disclosing the resignation of Bradley J. Bell from the Company’s Board of Directors. This Form 8-K/A supersedes and replaces the information provided in the Original Form 8-K.

 

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On December 21, 2022, Bradley J. Bell notified the Company of his decision to resign as a member of the Board of Directors of the Company effective as of January 2, 2023. Mr. Bell is resigning due to a disagreement with management over certain employee benefits provided by the Company as described in the letter from Mr. Bell attached hereto as Exhibit 99.1. Mr. Bell serves on the Compensation Committee and the Nominating and Corporate Governance Committee.
