Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 12, 2023, Cummins Inc. (the “Company”) announced that its Board of Directors (the “Board”) elected Jennifer Rumsey, the Company’s President and Chief Executive Officer, as Chairperson of the Board effective August 1, 2023, following current Executive Chairperson N. Thomas Linebarger’s retirement from the Board on July 31, 2023. Ms. Rumsey was appointed to the Board in February 2022 and appointed as the Company’s President and Chief Executive Officer in August 2022. Current Executive Chairperson Mr. Linebarger was appointed Executive Chairperson in August 2022.

Item 7.01.    Regulation FD Disclosure.

On July 12, 2023, the Company issued a press release announcing Ms. Rumsey’s election as Chairperson of the Board, effective August 1, 2023 and Mr. Linebarger’s retirement from the Board, effective on July 31, 2023. A copy of the press release is furnished herewith as Exhibit 99 and incorporated herein by reference.
