Item 8.01 Other Events.
As of the close of business on August 3, 2023, there were 70,183,407 shares of Republic First Bancorp, Inc.’s (the “Company”) common stock, par value $0.01 per share (the “Common Stock”), outstanding. The Company intends to disclose the total number of shares of Common Stock outstanding as of August 11, 2023, the record date for the Company’s 2022 annual meeting of shareholders (the “Annual Meeting”), in the Company’s definitive proxy statement, with respect to the Annual Meeting, which will be filed with the Securities and Exchange Commission.
