Item 5.02.        Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective June 20, 2023, the Board of Directors of The Home Depot, Inc. (the “Company”) appointed Kimberly R. Scardino, 52, as the Company’s Senior Vice President – Finance, Chief Accounting Officer and Controller, designating her as the Company’s principal accounting officer. Ms. Scardino has served as the Company’s Senior Vice President – Business Transformation since October 2020 and as the Chair of the Company’s ESG Governance Committee since June 2022. She served as Senior Vice President – Finance from January 2019 to October 2020. Prior to joining the Company, Ms. Scardino served as Senior Vice President, Global Controller and Chief Accounting Officer for Walgreens Boots Alliance, Inc. from 2015 until joining the Company in January 2019. From 2006 to 2015, she was with American Express Company, where she served in roles of increasing responsibility, most recently as Senior Vice President, Business Advisory Controller and Americas Controller. Ms. Scardino is replacing Stephen L. Gibbs, who served as the Company’s Vice President, Chief Accounting Officer and Corporate Controller until June 20, 2023.
