Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.



On September 17, 2021, Mr. Tony Lowings, Chief Executive Officer of the KFC Division (“KFC”) of Yum! Brands, Inc. (the “Company”), informed the Company that he plans to resign as Chief Executive Officer of KFC on December 31, 2021. Mr. Lowings will continue to report to David Gibbs, the Chief Executive Officer of the Company, in another capacity until his retirement in March 2022 and will assist the Company with transition needs through that date. Sabir Sami, currently KFC Division Chief Operating Officer and Managing Director of KFC Asia, will become Chief Executive Officer of the KFC Division on January 1, 2022.
