Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 1, 2021, Advanced Drainage Systems, Inc. (the “Company”) entered into a Separation and Release Agreement (the “Separation Agreement”) with Ronald R. Vitarelli (the “Executive”), the Company’s Executive Vice President, Engineering, in connection with the previously announced conclusion of his employment with the Company. Entry into the Separation Agreement is a condition to receiving certain termination and severance payments under the Executive’s Amended and Restated Executive Employment Agreement, dated June 20, 2014, between the Company and the Executive (the “Employment Agreement”).In connection with entry into the Separation Agreement, the Executive and Company agreed to, among other things (1) the Executive’s release of all claims related to the Executive’s employment with the Company and termination thereof (other than certain claims under the Employment Agreement, Company benefit and equity plans, relevant employee benefits law, and rights to indemnification) and (2) the survival of certain post-employment covenants contained in the Employment Agreement.
