Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 16, 2023, Dorothy C. Jenkins informed the Board of Directors (the “Board”) of Westlake Corporation (the “Company”) of her intention not to stand for reelection at the Company’s 2023 Annual Meeting of Stockholders (the “2023 Annual Meeting”). Ms. Jenkins has served as a director of the Company since June 2003 and intends to retire from the Board upon the expiration of her current term at the 2023 Annual Meeting. Ms. Jenkins’s decision not to stand for reelection is not the result of any disagreement with the Company, the Company’s management or the Board on any matter.
