SECTION 5 – CORPORATE GOVERNANCE AND MANAGEMENT

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On December 14, 2020, Mr. Rouzbeh Yassini-Fard, notified the Board of Directors of Visteon Corporation (the “Company”) of his intention to resign as a director of the Company, effective as of December 16, 2020. Mr. Yassini-Fard indicated that his decision was not the result of any disagreement with the Company’s operations, policies or procedures or any other matter related to Company. Effective upon Mr. Yassini’s resignation as a director, the size of the Company's Board of Directors will be reduced from nine to eight directors.

Mr. Yassini-Fard served as Chairman of the Technology Committee, and as a member of the Corporate Governance and Nominating Committee and the Finance and Corporate Strategy Committee.
