Item 8.01 Other Events
On January 20, 2021, Upland Software, Inc., a Delaware corporation (the “Company” or “Upland”), issued a press release announcing the January 19, 2021, acquisition of Second Street Media, Inc., a Missouri corporation (“Second Street”), pursuant to a Share Purchase Agreement dated January 19, 2021 (“Purchase Agreement”), by and among Upland, Second Street, Matt Coen and Douglas Villhard (together, the “Shareholders”). Pursuant to the Purchase Agreement Upland has acquired 100% of the outstanding shares of capital stock of Second Street.
The purchase price paid for Second Street was $25.4 million in cash at closing and a $5.0 million cash holdback payable in 12 months (subject to indemnification claims).
