Item 8.01.

Other Events.

On December 14, 2020, TechTarget, Inc. issued a press release announcing that it had launched a private offering of $175 million aggregate principal amount of Convertible Senior Notes due 2025 to persons reasonably believed to be “qualified institutional buyers” pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”). A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

On December 15, 2020, TechTarget, Inc. issued a press release announcing that it had priced its previously announced private offering of $175 million aggregate principal amount of Convertible Senior Notes due 2025 to persons reasonably believed to be “qualified institutional buyers” pursuant to Rule 144A under the Securities Act. A copy of the press release is attached hereto as Exhibit 99.2 and is incorporated herein by reference.
