Regulation FD Disclosure.
 
On January 14, 2022, The Toro Company, a Delaware corporation (“TTC”), announced its acquisition of privately-held Intimidator Group, which designs and manufactures Spartan Mowers, a professional line of zero-turn mowers, and a line of side-by-side utility vehicles. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
 
The information contained in this Item 7.01 and Exhibit 99.1 to this Current Report on Form 8-K shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liability of that section, and shall not be incorporated by reference into any filings made by TTC under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.

On January 14, 2022, TTC announced its acquisition of privately-held Intimidator Group for $400 million, which was paid with a combination of cash on hand and short-term borrowings under TTC’s existing revolving credit facility.
