Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers.

Effective as of the date of the annual meeting of stockholders of Trimble Inc. (the “Company”), to be held on May 12, 2021, Ms. Merit E. Janow and Mr. Ronald S. Nersesian will both be retiring from the Company’s Board of Directors and will cease to be directors of the Company or members of any committee of the Company’s Board of Directors, which cessation was not because of any disagreements with the Company relating to the Company’s operations, policies or practices.
