On January 17, 2022, Rodney I. Smith retired as Chairman and as a member of the Board of Directors of Smith-Midland Corporation (the “Company”).

 

Item 8.01 Other Events.

 

On January 17, 2022, in view of Rodney I. Smith’s retirement, the Board of Directors of the Company appointed Ashley B. Smith as the new Chairman of the Board of Directors of the Company.

 

Reference is made to a copy of the press release issued by the Company on January 20, 2022 and attached hereto as Exhibit 99.1 announcing the changes described in this Form 8-K.
