Item 8.01. Other Events.

 

On February 26, 2021, Sally Holdings LLC (“Holdings”) and Sally Capital Inc. (together with Holdings, the “Issuers”), both subsidiaries of Sally Beauty Holdings, Inc. (the “Company”), instructed Wells Fargo Bank, N.A., the trustee (the “Trustee”) for the Issuers’ 5.50% Senior Notes Due 2023 (the “Notes”), to deliver a notice of redemption to the holders of the Notes. Pursuant to the notice of redemption, the Issuers will redeem the entire aggregate $197.419 million outstanding principal amount of the Notes. The Issuers will redeem the Notes on April 1, 2021 for a redemption price equal to 100.917% of the current outstanding aggregate principal amount of the Notes, plus accrued and unpaid interest on the Notes redeemed to, but not including, the Redemption Date.
