Item 7.01    Regulation FD Disclosure.
The information in this report furnished pursuant to Item 7.01 shall not be deemed “filed” for the purposes of Section 18 of the Securities and Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section. It may only be incorporated by reference in another filing under the Exchange Act or the Securities Act of 1933, as amended (the “Securities Act”), if such subsequent filing specifically references the information furnished pursuant to Item 7.01 of this report.
Spirit Airlines, Inc. (the “Company” or “Spirit”) continues to see a significant impact in demand for air travel due to the COVID-19 pandemic. Beginning with the period leading up to the Thanksgiving holiday, rising COVID-19 case counts have resulted in a deceleration of bookings and an uptick in cancellations.

The Company continues to see significant pressure on ticket revenue per passenger flight segment, but non-ticket trends remain relatively strong. Non-ticket revenue per passenger flight segment for the fourth quarter 2020 is expected to only be down modestly compared to the fourth quarter last year. And, despite the slowdown in demand, load factor for the fourth quarter 2020 is expected to average about 70 percent.

Spirit continues to expect average daily cash burn1 for the fourth quarter 2020 to be approximately $2 million, partly due to credit vouchers versus refunds being issued for the majority of passenger cancellations, mitigating much of the impact on cash burn from lower revenue expectations. In addition, although fuel cost is currently expected to average $1.31 per gallon versus the initial estimate of $1.23, the Company’s estimated range for its fourth quarter 2020 total operating expenses, excluding special items, is now $660 to $670 million.

The Company’s fourth quarter 2020 EBITDA margin is now expected to range between negative 15 percent to negative 20 percent.

The Company continues to expect the recovery to be choppy and difficult to accurately predict. The projections herein are based on the Company’s current outlook and actual results could differ materially.

(1) Estimated average daily cash burn rate is calculated as the sum of operating cash outflows, debt service, fleet capex, net of financing, and pre-delivery deposit payments. It does not include the impact of any financings, capital raises, or the funds from PSP.
