Item 8.01 Other Events
In August 2020, we secured a binding commitment from Morgan Stanley Senior Funding Inc. for a $700 million term loan facility (the “$700M Liquidity Facility”) drawable at any time prior to August 12, 2021, which term was subsequently extended to August 12, 2022. We have further extended the availability period for drawing under this $700M Liquidity Facility to August 11, 2023. Once drawn, the loan will bear interest at SOFR + 5.75% and will mature 364 days from funding. The $700M Liquidity Facility will be guaranteed by RCI Holdings LLC.
