Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(b) Resignation of Principal Accounting Officer

 

On March 23, 2022, Brett Tolley resigned from his position as the Company’s Controller and Principal Accounting Officer effective May 15, 2022. Mr. Tolley’s resignation was a personal decision and is not the result of any disagreement with the Company. His existing compensation arrangements will remain in place during his remaining period of employment. Following May 15, 2022, Mr. Tolley will continue to provide services to the Company as a consultant until December 31, 2022, in order to assist with the transition to the new Principal Accounting Officer. A copy of Mr. Tolley’s consulting agreement will be included as an exhibit to the Company’s future SEC filings. The Company will begin a search for a new principal accounting officer immediately, and if a candidate has not been identified and hired by May 15, 2022, the Company intends to appoint a current employee as interim Principal Accounting Officer.
