Item 5.02Departures of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On February 16, 2022, Phillip A. Gobe resigned as Executive Chairman of ProPetro Holding Corp. (the “Company”), effective as of March 31, 2022 (the “Transition Date”). Following the Transition Date, Mr. Gobe will continue his service with the Company as the non-executive Chairman of the Board of Directors of the Company.

On February 17, 2022, the Company issued a press release announcing the management changes discussed herein. A copy of the press release is furnished as Exhibit 99.1 hereto.
