Item 8.01    Other Events.
On April 8, 2021, Progress Software Corporation (the “Company”) issued a press release announcing that the Company had priced its previously announced private offering (the “Notes Offering”) of $325 million aggregate principal amount of convertible senior notes due 2026 (the “Notes”) to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. A copy of the press release is being furnished as Exhibit 99.1 to this Current Report and is incorporated herein by reference.
