Item 8.01 Other Events

 

On June 7, 8 and 9, 2022, the Company entered into separate, privately negotiated transactions (the “Agreements”) with certain holders of its existing 2.0% convertible senior notes due 2026 (the “2026 Notes”) to repurchase approximately $9.85 million aggregate principal amount of the 2026 Notes for an aggregate repurchase price of approximately $17.6 million (plus approximately $0.1 million of accrued interest). The foregoing repurchases of the 2026 Notes closed on June 9, 10 and 13, 2022, and, as a result of these repurchases, none of the 2026 Notes remain outstanding.
