Item 7.01Regulation FD Disclosure
On December 8, 2021, Northwest Natural Holding Company (NW Holdings or Company) issued a press release announcing that NW Natural Water Company, LLC, its wholly owned subsidiary, has entered into an agreement with Far West Water and Sewer, Inc. (Far West) and its shareholders to acquire Far West. A copy of the press release is attached as Exhibit 99.1.

Item 8.01Other Events
Acquisition in Arizona and Water and Wastewater Expansion Progress
On December 8, 2021, NW Natural Water Company, LLC, a wholly owned subsidiary of NW Holdings entered into an agreement with Far West Water and Sewer, Inc. and its shareholders to acquire Far West, which is a water and wastewater utility with a current combined approximately 25,000 connections in Yuma, Arizona.
The transaction is expected to close in the second half of 2022. The closing of the transaction is subject to approval by the Arizona Corporations Commission and other customary closing conditions.
NW Holdings’ closed and pending direct and indirect acquisitions of water and wastewater to date will, including Far West, represent approximately $200 million of cumulative investment in the water and wastewater sectors, with an aggregate total of approximately 52,000 connections.
