Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 10, 2020, Tamar Yehoshua informed ServiceNow, Inc. (“ServiceNow” or the “Company”) of her resignation from the Board of Directors (the “Board”), effective as of December 31, 2020. Ms. Yehoshua’s resignation was not a result of any disagreement with the Company. The Board expressed its appreciation for Ms. Yehoshua’s service to the Company and her invaluable contributions to the Board.
