Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On June 1, 2021, Murphy USA Inc. (the “Company”) announced that Mr. John A. Moore, Senior Vice President and General Counsel, will retire effective July 31, 2021. On July 29, 2021, in connection with Mr. Moore’s retirement, the Company and Mr. Moore entered into an agreement (the “Agreement”) pursuant to which the Company agreed to pay Mr. Moore a one-time payment of $1,540,000 which includes unused vacation pay, less applicable withholding taxes and deductions. The Agreement includes a release of claims by Mr. Moore in favor of the Company and its subsidiaries and affiliates.

The foregoing description of the Agreement is qualified in its entirety by reference to the full text of the Agreement, a copy of which will be filed as an exhibit to the Company's Quarterly Report on Form 10-Q for the quarter ended September 30, 2021.
