| Item 2.02 | Results of Operations and Financial Condition |
On January 10, 2024, Beacon Roofing Supply, Inc. (the “Company”) issued a press release announcing the appointment of Carmelo Carrubba, Beacon’s current Vice President of Strategy and Transformation, as Interim Chief Financial Officer, effective January 20, 2024. The press release also announces the Company’s preliminary financial results for the quarter and for the year ended December 31, 2023, as well as the Company’s preliminary 2024 outlook. A copy of the press release is attached hereto as Exhibit 99.1.
